In a significant financial maneuver, Chinese tech giant Baidu Inc. has announced plans to issue up to $2 billion in exchangeable bonds that can be converted into shares of Hong Kong-listed online travel company Trip.com Group Ltd. This substantial offering matches the largest ever dollar-denominated exchangeable bond issued by an Asian company. The bonds, set to mature in 2032, will carry no coupon and are intended to fund debt repayment, interest payments, and general corporate activities.

Details of the Financial Strategy Unveiled

In the midst of a favorable market environment for Chinese stocks, Baidu, headquartered in Beijing, is capitalizing on the momentum with this strategic move. Earlier this week, the company also sold 10 billion yuan ($1.4 billion) worth of bonds outside mainland China, marking its first debt issuance since 2021. Baidu, a major shareholder in Trip.com, aims to bolster its financial position through these initiatives.

The timing of this bond issuance aligns with a broader trend of companies leveraging stock market rallies to raise capital. For instance, electric vehicle manufacturer BYD Co. recently raised $5.6 billion in a share sale, the largest in Hong Kong in nearly four years. Additionally, the recent announcement by Beijing at the National People’s Congress supporting the development of large-scale AI models and intelligent manufacturing equipment has further boosted investor confidence in the tech sector.

However, despite the overall positive sentiment, Baidu's shares have lagged behind. Its Hong Kong-listed stock has risen only 9.8% this year, underperforming compared to the 35% gain in the Hang Seng Tech Index over the same period. The company reported its third consecutive quarterly revenue decline last month, highlighting ongoing challenges in its internet search and AI businesses amid intense competition.

JPMorgan Chase & Co., Morgan Stanley, Goldman Sachs Group Inc., and Bank of America Corp. are acting as arrangers for this exchangeable bond issuance, underscoring the involvement of leading financial institutions in facilitating this transaction.

From a journalist's perspective, Baidu's decision to issue these exchangeable bonds reflects both an opportunity and a challenge. On one hand, it demonstrates the company's proactive approach to strengthening its financial foundation in a competitive landscape. On the other hand, it highlights the need for Baidu to address its revenue issues and regain its footing in the rapidly evolving tech industry. The success of this issuance could be pivotal in determining Baidu's future trajectory in the global market.
