BTG Pactual, a leading investment bank and asset manager based in Brazil, has inaugurated a dedicated insurance-linked securities (ILS) entity, named BTG Pactual Sociedade Seguradora de Propósito Específico S.A. (BTG Pactual SSPE). This new structure is designed to issue Letras de Risco de Seguro (Insurance Risk Letters), which are Brazil's distinct form of ILS instrument. This development marks a significant step for BTG Pactual in the burgeoning Brazilian ILS market.
BTG Pactual's Strategic Entry into Brazil's ILS Market
On August 24, 2026, BTG Pactual officially announced the establishment of BTG Pactual SSPE. This makes them the fourth entity in Brazil to possess an SSPE structure, enabling them to underwrite and facilitate the distribution of Letras de Risco de Seguro (LRS). The investment bank is renowned for its extensive involvement in the reinsurance sector, with its asset management division making various strategic investments and providing services to insurers and reinsurers globally, particularly across Latin America.
BTG Pactual's history in the insurance-linked securities market includes its 2018 acquisition of Lutece Re Ltd., a Bermuda-based manager of reinsurance-linked investments. Lutece Re was subsequently acquired by Peak Re in 2020, transforming into Peak Capital. The current surge in Brazil's ILS market, characterized by an increasing number of LRS transactions, has prompted BTG Pactual to re-engage with its own dedicated issuance structure.
Brazil's regulatory body, the Superintendence of Private Insurance (SUSEP), has officially authorized BTG Pactual Sociedade Seguradora de Propósito Específico S.A. (BTG Pactual SSPE) to issue LRS. The newly authorized SSPE commenced operations with an initial share capital of R$ 3,000,500, represented by 3,000,500 ordinary, nominative, and unnamed shares. This authorization grants BTG Pactual SSPE the capability to conduct insurance, reinsurance, and retrocession activities, alongside issuing LRS to investors. These LRS instruments function similarly to other global ILS arrangements, allowing risks to be fully collateralized.
The establishment of BTG Pactual SSPE is a noteworthy addition to Brazil's ILS landscape. The first SSPE structure in Brazil was IRB (Re)'s Andrina SSPE, which sponsored the initial LRS transaction under the new regulatory framework and has since been rebranded as IRB SSPE. Following this, Gálapagos Capital SSPE, an entity of Galapagos Capital, successfully executed its inaugural LRS issuance of R$100 million in December 2025. Subsequently, Gálapagos Capital SSPE issued a second arrangement in early 2026 and facilitated a third, larger offering of R$126 million in May 2026, which was the first widely distributed LRS under Brazil's ILS regulations. Earlier this year, Ariel SSPE also launched, further contributing to the expanding domestic Brazilian ILS market.
BTG Pactual's entry, as one of Brazil's largest investment banks and asset managers, into this growing LRS issuance pipeline signals robust prospects for the continued expansion and activity within the country's insurance-linked securities market.
