KLX Energy Services has recently concluded a dynamic second quarter in 2026, marked by significant financial improvements and strategic corporate actions. The company reported a substantial increase in revenue and adjusted EBITDA, reflecting a positive shift in market conditions and effective operational management. A key highlight was the successful integration of the WolfPack acquisition, which has expanded the company's service offerings and market reach. Furthermore, KLX Energy Services proactively initiated a substantial equity rights offering, aimed at fortifying its financial structure and ensuring long-term stability in a volatile market.

On Tuesday, August 11, 2026, KLX Energy Services held its second-quarter earnings call. Key executives, including President and CEO Christopher Baker, Senior Vice President and Interim CFO Geoffrey Stanford, and General Counsel Max Bouthillette, detailed the company's performance and strategic initiatives. The financial results for the quarter were impressive, with revenue climbing to $167.3 million, representing a 15.6% increase from the previous quarter. This growth was attributed to the normalization of seasonal trends and heightened activity levels within the energy sector. Adjusted EBITDA saw an even more dramatic rise of 68%, reaching $18.7 million, underscoring the company's enhanced operating leverage. Despite a net loss of $8.4 million, a 65% improvement over the prior quarter, the company highlighted a non-recurring bargain purchase gain of $6.5 million from the WolfPack acquisition, which, when excluded, showed an adjusted net loss of $13.2 million. The adjusted EBITDA margin expanded to 11.2%, up from 7.7% in the first quarter.

A significant development during the quarter was the acquisition of WolfPack Rentals, finalized on June 2, 2026. This acquisition contributed $3.4 million in revenue in June alone, projecting an annual run rate of approximately $41 million. The integration process has been smooth, leading to an increased annual synergy target of $2.5 million. Excluding WolfPack, KLX's core business experienced a 13% sequential growth, outperforming the 5.8% increase in the U.S. land rig count. This growth was particularly strong in coiled tubing, directional drilling, technical services, and accommodations. Revenue per average operated rig increased to $311,000 from $273,000 in the first quarter, driven by a shift in product service line mix. Geographically, the Rocky Mountains segment saw a 31.6% sequential revenue increase to $50.8 million, while the Southwest segment grew by 20.3% to $64.5 million, boosted by demand in the Eagle Ford and Permian basins. The Northeast/Mid-Con segment remained largely stable at $52.0 million, despite a slight decrease in flowback activity, offset by gains in directional drilling and accommodations.

Addressing its balance sheet, KLX Energy Services announced a $125 million backstopped equity rights offering. CEO Christopher Baker emphasized that this was a proactive step to reduce debt, enhance liquidity, and strengthen the company's capital structure, rather than a response to operational distress. This initiative is expected to lower the net leverage ratio to approximately 2.7x, providing greater financial resilience. The offering is designed to be equitable, allowing existing shareholders to participate at the same price as the backstop parties or sell their transferable rights. This move is projected to save $11 million to $14 million annually in interest expenses and an additional $8.2 million from expiring coiled tubing leases by 2027, collectively improving the free cash flow profile by about $20 million. The company also confirmed its election to pay 100% of interest on senior secured notes via payment-in-kind (PIK) in Q2 and Q3, with a planned shift to a 50-50 cash and PIK mix in Q4, subject to market conditions.

Looking ahead, KLX Energy Services forecasts third-quarter revenue to be between $176 million and $188 million, with a midpoint of $182 million. This projection suggests mid-single-digit sequential growth for the core business, even excluding WolfPack's contribution. The company anticipates continued margin expansion due to improved activity and better absorption of fixed costs. While the market remains active, it is also highly volatile, with commodity price fluctuations impacting customer responses. Despite this, KLX is focused on optimizing utilization, controlling costs, generating cash, and fully integrating WolfPack to solidify its market position. The leadership team remains confident in its strategy, aiming to leverage recent achievements and financial restructuring to pursue future growth opportunities and deliver long-term value to its stakeholders.
