The New York City Transitional Finance Authority (TFA) is set to make a significant move in the municipal bond market this month, with plans to issue $1.8 billion in bonds to support the city's capital investment initiatives. The issuance will comprise two types of bonds: $1.5 billion in fixed-rate multi-modal bonds and $300 million in adjustable-rate securities. These bonds are backed by the city’s personal income tax revenues, with an additional pledge of sales tax revenue as a secondary guarantee. The TFA enjoys robust credit ratings from major agencies, including AAA ratings from S&P Global Ratings and Fitch Ratings, and Aa1 from Moody’s. This strong financial foundation reflects the authority's unique legal structure that shields it from operational risks associated with New York City.

Established in 1997 under state law, the TFA operates as a bankruptcy-remote public benefit corporation tasked with financing part of the city's capital investment program. Its direct claim on personal income tax revenue, along with a backup pledge of sales tax, has earned it higher ratings compared to New York City general obligation bonds. According to Fitch Ratings, the bond structure can withstand economic cycles and maintain solid debt service coverage. Moody’s also rates the TFA one notch above the city's GO rating, citing the strong legal framework that insulates the TFA from potential fiscal stress.

Over the years, the state legislature has progressively increased the TFA's debt limit, most recently in 2024, allowing the authority to have up to $21.5 billion in outstanding future tax-secured bonds, with plans to increase this limit to $27.5 billion by July 1. Despite some criticism from City Comptroller Brad Lander in 2022 regarding the expansion of the debt cap, the TFA remains a frequent participant in the municipal market. In fact, it was the largest municipal bond issuer in 2024, selling $10.61 billion in bonds, surpassing even New York City itself, which issued $7.37 billion.

The upcoming fixed-rate bond deal will be managed by Wells Fargo Securities, with several co-senior managers involved, including BofA Securities, Jefferies, J.P. Morgan, and others. Retail investors will have priority during a one-day retail order period on March 11, followed by institutional pricing on March 12. Meanwhile, the adjustable-rate bonds will be sold during the week of March 31, with BofA Securities and TD Securities serving as remarketing agents. Bonds maturing after November 1, 2034, will be subject to mandatory tender or optional redemption starting May 1, 2035, while earlier maturities will be subject to make-whole optional redemption or mandatory tender.

This bond issuance underscores the TFA's ongoing commitment to supporting New York City's capital projects. With its strong financial backing and favorable market position, the TFA continues to play a pivotal role in ensuring the city's infrastructure and development needs are met. The robust legal framework and high credit ratings provide assurance to investors, making these bonds an attractive option in the municipal market.
